General Cleaning Services Agreement

INTRODUCTION

Thank you for choosing to engage in the services provided by Arctic Star Cleaning LLC. We are so excited to be your cleaning partner and look forward to improving your operating areas with the customized approach to cleaning services and attention to detail you need. We hope the services you will receive during your cleaning sessions will be beneficial to you and we are excited to provide exceptional service. We look forward to working with you.

GENERAL TERMS AND CONDITIONS.

This Agreement is made effective as of the date of estimate acceptance by and between Arctic Star Cleaning, LLC (“Owner”), you as our Client (“Client”). The parties agree as follows: Arctic Star Cleaning LLC agrees to provide the following services:

 For Residential deep cleans: clean and disinfect reachable ceiling fans, vents, and light fixtures; clean and disinfect interior side of windows and window sills, remove and brush window screens, reinstall window screens; clean and disinfect baseboards, light switch plates, and electricity outlet receptacles; clean and disinfect doors, door moldings, and doorknobs; vacuum and mop all flooring; clean and disinfect front of cabinets and drawers, and cabinet handles/pulls, and (if vacant, clean and disinfect cabinet and drawer interiors); clean and disinfect (if house and refrigerator are unoccupied, inside), and outside of refrigerator; clean outside and inside of microwave, and degrease microwave filters; clean and disinfect stovetop, grates or drip pans; clean and disinfect interior and exterior of oven; clean and disinfect countertops and backsplash; clean and disinfect kitchen sink and sink hardware; clean, disinfect, and remove buildup from showers and tubs; clean and disinfect bathroom sinks, sink hardware, vanities, and mirrors; clean and disinfect toilets inside and out; hanging wall pictures, personal objects, valuable items and/or collectible items are not included.

 

For Residential routine cleans: spot clean reachable windows, window sills, baseboards; vacuum and mop all floors; clean stovetop, and oven exterior, spot clean inside of oven and grates or drip pans; clean and disinfect kitchen countertops and backsplash; clean and disinfect outside of refrigerator; spot clean and disinfect inside, clean and disinfect outside of microwave; spot clean front of kitchen cabinets and drawers, and cabinet pulls clean and disinfect kitchen sink and sink hardware, spot clean showers and tubs and faucet hardware, clean and disinfect sinks, vanities, and mirrors, clean and disinfect inside of toilets.

 

For Commercial Office cleans: dust furniture, windowsills and baseboards, empty bagged trash from waste baskets and dispose in appropriate receptacles on site, vacuum and/or wash floors, disinfect sinks and countertops, disinfect inside and outside of toilets, clean mirrors and interior windows and sanitize common touch areas; refill any desired consumable items such as paper towels, toilet paper, hand soap, dish soap, etc. Client to provide all consumable items and maintain inventory stock on site. Owner shall notify Client if any items need replenishing.

 

PREMISES. Owner, in consideration of the contract payments provided in this Agreement, agrees to provide cleaning services to Client at the Client location indicated by the Client. Client agrees to make available the premises for cleaning and shall not unreasonably deny access to the site. Client agrees to allow Owner the use of reasonable judgement for cleaning decisions and shall otherwise provide specific instructions when necessary. Owner agrees to maintain building access security including keys, codes and any specialized access knowledge. Owner is bonded against key loss and all efforts shall be made to ensure proper building security upon entering and exiting the premises.

 

MINOR CHILDREN/UNRESTRAINED PETS. Minor children and/or unrestrained pets on site shall always supervised by their parent(s) or legal guardian(s), or owner(s). At no time will Owner be responsible for the care or supervision of any minor children or unrestrained pets on site.

 

TERM. The Agreement term will be listed in the Estimate as either a one-time or recurring service, and will be considered accepted as of the date the estimate is accepted by the Client.

 

FEES DISCLOSURE AND PAYMENTS. Client shall pay to Owner the following rates:

For scheduled cleaning services during regular business hours, 8am to 5pm, Monday through Friday, or for the first 8 hours worked in a day, the hourly rate of $125.00 shall be applied.

For scheduled cleaning services outside normal business hours, 5:01pm to 7:59am Monday through Friday and at any time on Saturdays or Sundays, or after 8 hours worked in a day, the hourly rate of $190.00 shall be applied.

For any cleaning services needed with less than 24 hour notice, the emergency rate of $250.00 per hour shall be applied.

Biohazard/Hazmat Fee: In such cases where there are biohazardous materials or situations in which Owner must utilize Personal Protective Equipment (PPE) such as an N95 mask with NIOSH filters, full coverage body suits, heavy duty gloves, boots and/or hearing protection, a $300 per day Biohazard fee will be added to the invoice(s). In any case where pet waste is included in the scope of work, this fee will automatically be applied.

All funds are payable upon completion of the services rendered, and upon Invoice receipt by the Client (“Due upon receipt”). Owner shall invoice Client through Owner’s chosen Point of Sale platform and make available to Client all available payment options. All money received will be paid towards any applicable late fees first then services owed.

 

CHANGE REQUESTS. Any additional work or changes to the original Price Quote/Estimate and scope of work requested by the Client is to be treated as an entirely separate request for services and will require a separate Price Quote/Estimate, agreement by the client and separately scheduled appointment. Requesting changes to the scope of work and/or requesting to add any additional tasks may be done in the form of email or text and is subject to the pricing, fee schedule and appointment scheduling requirements outlined in this agreement and will not be accommodated on the same day.

 

REFUND POLICY. All sales are final under the terms of this Agreement, and no refunds will be given for services rendered by the Owner and received by the Client. This policy shall stand even if Client is dissatisfied with the results.

 

LATE PAYMENTS. For each payment not received by 7 days after the invoice date, a late fee of 5.25% the invoiced amount will be assessed on day 7 of the outstanding receivable and then every 30 days thereafter, due and owed until the Invoice is paid in full. Under Alaska State law, a mandatory 7 day grace period exists before late charges may be assessed, and late charges are limited to an annual interest rate of a maximum of 5% above the Federal Reserve discount rate or 10.5% of the invoiced amount.

 

NON-SUFFICIENT FUNDS. Client shall be charged $25.00 for each payment that is returned to Owner for lack of sufficient funds, plus any applicable late fees. After one (1) non-sufficient payment, Owner will no longer accept the payment method that was rendered as non-sufficient. Payments will be paid thereafter by direct deposit, credit card, money order, cashier’s check, or cash-in-hand only.

 

SCHEDULING. All cleaning sessions are reserved at in advance by appointment only. Appointments can be made in person, by phone call, text message, or by scheduling in the member portal on www.arcticstarcleaning.com, and are subject to the rates outlined in the FEE DISCLOSURES AND PAYMENTS section.

 

CANCELLATIONS/LATE ATTENDANCE/MISSED APPOINTMENTS. Scheduled cleaning sessions must be cancelled at least 24 hours prior to the session start time. For appointments that are otherwise missed, the entire cleaning session fee will be owed and billable in full and are additionally subject to a $50.00 Missed Appointment fee.

 

LIMITATIONS. Arctic Star Cleaning employees shall not climb higher than a 2-step ladder or move furniture. Arctic Star Cleaning does not supply hand soap, trash bags, paper products, or any other household consumable items. Dust resettles after services are completed despite the efforts to limit dust in the air by staff and as such, Arctic Star Cleaning cannot prevent dust in the air entirely.

 

INJURIES/DAMAGE CAUSED BY CLIENT. Client will be responsible for any injury or property damage caused by negligence (intended or unintended) or improper use (intended or unintended) by Client.

 

LIABILITY AND INSURANCE. Unless caused by Owner’s negligence, Owner is not responsible to the Client for damages, injuries, or losses to a person or property caused by fire, wood, water leaks, ice, snow, hail, winds, explosion, smoke, utility interruption, theft, burglary, robbery, assault, vandalism, other person, conditions of the property, environmental contaminants, or other occurrences of casualty losses. Owner and Client shall each be responsible for maintaining the appropriate insurances, licensures and bonding for their respective interests in this Agreement and property where cleaning sessions occur.

 

GOVERNING LAW.  This Agreement shall be construed in accordance with the laws of the State of Alaska.

 

DEFAULTS. Client shall be in default of this Agreement if Client fails to fulfill any obligation or term by which Client is bound. Subject to any governing provision of law to the contrary, if Client fails to cure any financial obligation within 2 months after written notice of such default is provided by Owner to Client, Owner may follow the procedures for debt collection (to the extent permitted by law), and without prejudicing Owner’s rights to damages. Client shall pay all costs, damages, and expenses (including reasonable attorney fees up to $10,000.00 and expenses) suffered by Owner by reason of Client’s defaults. The rights provided by this paragraph are cumulative in nature and are in addition to any other rights afforded by law.

 

CUMULATIVE RIGHTS. The rights of the parties under this Agreement are cumulative and shall not be construed as exclusive unless otherwise required by Law.

 

SEVERABILITY. If any portion of this Agreement shall be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.

 

COVENANTS, CONDITIONS, AND RESTRICTIONS. The Client has received a copy, if any, of covenants, conditions, and restrictions and agrees to abide by them and has disclosed any covenants, conditions and restrictions the Owner must abide by when performing cleaning services. This agreement exists for the purpose of establishing an implied covenant of good faith and fair dealing.

 

TERMINATION. Owner reserves the right to terminate this agreement for any and/or all the following reasons: breach of contract by the Client for non-payment of outstanding invoices; for material change by the Client such as bankruptcy or death; for damage to Owner’s reputation, honor, and/or credit by Client’s actions; and/or for Owner’s convenience.

 

ENTIRE AGREEMENT/AMENDMENT. This Agreement contain(s) the entire agreement of the parties and there are no other promises, conditions, understandings, or other agreements, whether oral or written, relating to the subject matter of this Agreement. This Agreement may be modified or amended in writing, if the writing is signed by the party obligated under the agreement.

 

HIERARCHY OF DOCUMENTS. In the event a Price Quote is drawn up between the Owner and the Client that contains items to be included or excluded in the scope of work, the Price Quote document shall prevail.

 

USE OF VIDEO FOOTAGE AND PHOTOS. Arctic Star Cleaning shall take video recordings and photos of the premises at various times rendering cleaning services. The purpose of these video recordings and photos are primarily for use in Social Media publication but may be used to provide confirmation or positive or negative proof of any employee misconduct. All employees are bonded against theft. 

 

SOCIAL MEDIA POLICY. Arctic Star Cleaning LLC shall use any video footage and before-and-after pictures strictly for the purpose of showcasing their work. All efforts will be made to ensure client anonymity and obfuscate any Personal Identifying Information (PII) before publication unless express written permission is given for client details to be shared and published. Clients may opt out of the Social Media Policy if they choose to not have photos or videos of their property published.

 

BINDING EFFECT. The provisions of this Agreement shall be binding upon and inure to the benefit of both parties and their respective legal representatives, successors, and assigns. Client hereby acknowledges that the terms, conditions, rules, and regulations contained herein were read and understood and agrees to abide by them. Client also acknowledges receipt of this agreement.
